Terms of Service

These Terms govern access to and use of the SIPSALGO platform. They should be read alongside the Privacy Policy and the Software & Trading Risk Disclosure.

1. About These Terms

These Terms of Service (“Terms”) govern access to and use of the SIPSALGO platform (“SIPS”), including the public website and the members area. By creating a SIPS account or otherwise using SIPS, you agree to these Terms. If you do not agree, do not use SIPS.

These Terms should be read alongside the Privacy Policy, the Software & Trading Risk Disclosure, and the other documents listed on the Legal & Compliance page, which are incorporated by reference.

2. About SIPSALGO / C&L GROUP LTD

SIPSALGO is operated by C&L GROUP LTD, company number 11712068, a private limited company registered in England and Wales, with its registered office at Tenby Place, 102 Selby Road, West Bridgford, Nottingham, England, NG2 7BA.

References to “SIPSALGO”, “SIPS”, “we”, “us” or “our” mean C&L GROUP LTD. References to “you” or “customer” mean the individual or entity using SIPS.

3. Eligibility and Legal Capacity

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use SIPS. By registering, you confirm that this is the case and that any information you provide is accurate.

4. Account Registration and Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at hello@sipsalgo.com if you suspect unauthorised access to your account.

You must provide accurate registration and billing information and keep it up to date.

5. The SIPS Software Service

SIPS is subscription analytical software for systematic traders. It provides tools for strategy analysis, portfolio construction and comparison, robustness/Monte Carlo simulation, trade-distribution analysis, and read-only live-performance monitoring for connected MT5 accounts.

Important

SIPS does not act as your broker and does not hold your trading funds. SIPS’s current analytical and monitoring functionality does not itself make your trading decisions for you — you remain responsible for every decision you make using it.

6. Subscription Plans and Billing

SIPS is offered on paid subscription plans, shown on the Pricing page. The plan and billing period you select are shown to you before payment. Prices and features are set by us and may be updated from time to time; changes to your own plan’s price will be notified to you in advance in accordance with applicable law before they take effect.

Payment is processed by a third-party payment provider. See Section 11 (Third-Party Platforms and Integrations) and the Subscription & Refund Policy for full billing, renewal and refund terms.

7. Renewals and Cancellation

Where a subscription renews automatically, it will continue until you cancel future renewal. Cancelling stops future renewal; it does not automatically refund the current billing period unless required by the Subscription & Refund Policy or applicable law. Full detail is in that policy.

8. Customer Responsibilities

  • reviewing analytical output critically before acting on it
  • portfolio selection, position sizing, risk settings and deployment decisions
  • the accuracy of data you upload or connect to SIPS
  • compliance with applicable law and the terms of any broker or third-party service you use alongside SIPS
  • keeping your account credentials secure

9. Strategy, Trade and Data Uploads

You may upload strategy, trade and dataset files (for example from StrategyQuant X) to SIPS for analysis. You are responsible for having the right to upload and use that data, and for its accuracy. SIPS analyses the data you provide; it does not independently verify third-party or user-supplied data.

10. MT5 Connectivity

SIPS offers optional, read-only MT5 account connectivity through the SIPS Bridge/Connector, allowing SIPS to receive and display account, trade and performance information from a connected MT5 account. The SIPS Bridge does not itself place, modify or execute trades. See the Software & Trading Risk Disclosure for the full detail on this functionality and its limitations.

11. Third-Party Platforms and Integrations

SIPS references or connects with independent third-party platforms and services, including strategy-development tools such as StrategyQuant X, trading platforms such as MT5, and (for subscription payment) a third-party payment provider. Each is a separate, independently operated service governed by its own terms. We are not responsible for the availability, accuracy or performance of a third-party platform or service.

12. Intellectual Property and Software Licence

SIPS, including its software, design, branding and content, is owned by or licensed to C&L GROUP LTD. Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable licence to access and use SIPS for your own systematic-trading analysis during your subscription. You may not copy, resell, sublicense, reverse engineer (except to the extent restrictions are legally permitted), or create derivative works from SIPS.

13. Prohibited Use

You must not misuse SIPS. See the Acceptable Use Policy for the full list of prohibited conduct, including unauthorised access, malicious code, disruption of the platform, credential sharing that circumvents subscription controls, abuse of APIs/connectors, and infringement of SIPS intellectual property.

14. Backtests, Simulations and Analytical Output

Backtested, simulated (including Monte Carlo) and other analytical output shown in SIPS describes historical or modelled behaviour. It is not actual trading performance and is not a reliable indicator of future results. See the Software & Trading Risk Disclosure for full detail.

15. No Investment Advice

Nothing produced by SIPS constitutes investment, financial, legal or tax advice, and nothing on the SIPSALGO website or within SIPS should be read as a personal recommendation. Analytical outputs, scores, comparisons and reports are descriptive, not prescriptive. Seek independent professional advice where appropriate before making trading or investment decisions.

16. Trading Risk

Trading and investment activity carries risk, including the risk of losing some or all of the capital involved. SIPS can help structure research and comparison, but cannot remove or reduce the underlying risk of trading. See the Software & Trading Risk Disclosure for full detail.

17. Service Availability and Maintenance

Like any software, SIPS may from time to time be subject to downtime, errors, delays, maintenance or other interruptions. We aim to keep SIPS available and to give reasonable notice of planned maintenance where practical, but do not guarantee uninterrupted availability.

18. Changes to the Service

We may update, add to or remove features of SIPS from time to time as the platform develops. Where a change materially reduces the functionality you are paying for, we will act reasonably and in accordance with applicable law.

19. Suspension and Termination

We may suspend or terminate your access to SIPS if you materially breach these Terms (including the Acceptable Use Policy), where required by law, or to protect the security or integrity of SIPS. You may stop using SIPS and cancel your subscription at any time in accordance with Section 7 and the Subscription & Refund Policy.

20. Liability and Non-Excludable Rights

To the fullest extent permitted by law, C&L GROUP LTD is not liable for indirect or consequential loss, or for trading or investment losses arising from decisions you make using SIPS. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited (including for death or personal injury caused by negligence, or for fraud), or affects your statutory rights as a consumer where applicable.

21. Privacy

Our use of your personal information is described in the Privacy Policy, which forms part of these Terms.

22. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction over any dispute, subject to any mandatory consumer-protection rights that entitle you to bring proceedings in your own country of residence and any other rights which cannot lawfully be excluded.
